1. The platform

Fractionly (“the Platform”) connects companies (“Clients”) with independent fractional executives (“Leaders”) and provides tooling for the resulting engagements: screening, matching, contracts, timesheets, invoicing and payments. Fractionly is a marketplace and payment facilitator — Leaders are independent professionals, not employees, agents or representatives of Fractionly.

2. Accounts

You must provide accurate information when registering and keep your credentials secure. You are responsible for all activity under your account. We may suspend accounts that breach these terms, misrepresent experience, or attempt to circumvent the Platform.

3. Screening and verification

Leader verification combines AI-assisted assessment with human review. A “Verified” badge reflects our screening process at a point in time; it is not a guarantee of performance or outcome. Clients remain responsible for their own hiring decisions.

5. Payments

Payments are processed by Razorpay. By paying an invoice you authorise the corresponding charge. Taxes applicable to Client payments or Leader earnings are the responsibility of the respective party.

6. Acceptable use

No unlawful content, no misrepresentation of identity or experience, no attempts to manipulate the screening process, no scraping or reverse engineering, and no interference with other users.

7. Liability

The Platform is provided “as is”. To the maximum extent permitted by law, Fractionly is not liable for indirect or consequential losses, or for the acts or omissions of Clients or Leaders. Our aggregate liability is limited to the platform fees you paid in the three months preceding a claim.

8. Termination and changes

You may close your account at any time; obligations from active engagements survive closure. We may update these terms with notice through the Platform; continued use constitutes acceptance.
